General terms and conditions for using Neohired

IMPORTANT: BY USING NEOHIRED, YOU AGREE TO THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE OUR SERVICES.

1. Acceptance and Eligibility

1.1 Agreement to Terms

By accessing or using Neohired (“Agency,” “We,” or “Services”), you agree to be bound by these Terms of Service (“Terms”) and all applicable laws and regulations.

1.2 Age Requirement - 18+ ONLY

You must be at least 18 years old to use Neohired. By engaging with our Services, you represent and warrant that you are at least 18 years of age. We do not knowingly collect information from or provide services to minors under 18. This age restriction is strictly enforced to comply with child labor laws and protect minors from adult-oriented content and services.

1.3 Capacity

You represent that you have the legal capacity to enter into this agreement and are not prohibited from using our Services under applicable law.

1.4 Business Use

If you are using Neohired on behalf of a company, you represent that you have authority to bind that company to these Terms.

2. Service Description

2.1 Overview

Neohired is an AI-powered recruitment agency that connects businesses with qualified candidates through technology-driven matching and professional recruiting expertise.

We provide:

  • Candidate sourcing, screening, and evaluation
  • AI-assisted matching of candidates to roles
  • Recruitment consulting and advisory services
  • Facilitation of interviews, offers, and placements

2.2 Professional Services Platform

Neohired focuses exclusively on recruitment and talent placement. We do not provide payroll, employment contracts, or HR compliance services. Clients remain responsible for employment decisions and compliance with applicable labor laws.

3. Client and Candidate Responsibilities

3.1 Clients

Clients agree to:

  • Provide accurate job descriptions and requirements
  • Notify Neohired promptly of all offers and hires made through our referrals
  • Pay agreed placement fees upon candidate hire
  • Comply with employment, labor, and tax laws

3.2 Candidates

Candidates agree to:

  • Provide truthful and accurate information during the application process
  • Act professionally throughout interviews and placements
  • Inform Neohired of any changes in employment status related to our placements

3.3 Termination Rights

We reserve the right to refuse service or terminate relationships at our discretion, including for fraud, misrepresentation, or non-payment.

4. Prohibited Conduct

Strictly prohibited activities include:

  • Misrepresentation of skills, experience, or authority
  • Attempting to bypass Neohired to avoid fees
  • Harassment, threats, or abuse toward clients, candidates, or staff
  • Fraudulent, illegal, or unethical recruiting practices
  • Unauthorized use of our technology or data

5. Financial Terms

5.1 Commercial Terms Overview

5.2 Placement Fees (Summary)

Clients pay a success-based recruitment fee calculated as a percentage of the hired candidate's total annual compensation package (base salary + variable compensation + benefits):

  • 15-18% for junior to intermediate roles
  • 18-20% for senior and expert positions
  • 20-25% for executive and highly specialized profiles
  • 25-30%+ for C-level and executive search mandates

No upfront fees, retainers, or administrative charges for standard contingency recruitment.

5.3 Payment Terms (Summary)

  • Fees invoiced upon candidate start date or contract signature (whichever first)
  • Payment due within 30 calendar days from invoice date
  • Late payments subject to interest and collection costs
  • Alternative payment structures available (split payments, volume discounts)

5.4 Replacement Guarantee (Summary)

90-day (3-month) replacement guarantee from candidate start date:

  • If candidate leaves or is terminated within 90 days (for performance, fit, or voluntary reasons), Neohired will provide a replacement candidate at no additional fee or apply a credit
  • Exclusions apply for restructuring, position elimination, force majeure, or client breach of employment terms
  • Client must notify Neohired in writing within 5 business days of separation

6. Intellectual Property

  • Neohired owns all rights to its technology, AI models, branding, and proprietary processes.
  • Clients and candidates may not copy, reverse-engineer, or misuse any proprietary systems.
  • Candidates retain rights to their resumes and personal data, subject to our Privacy Policy.

7. Disclaimers and Limitations

  • Neohired does not guarantee employment or hiring outcomes.
  • Final hiring decisions rest with the client.
  • Services are provided “AS IS” without warranties, express or implied.
  • Our liability is limited to the total amount of fees paid by the client in the 12 months preceding the claim.

8. Indemnification

You agree to defend, indemnify, and hold harmless Neohired, its parent companies, subsidiaries, affiliates, officers, directors, employees, agents, contractors, licensors, service providers, and successors from and against any and all claims, demands, actions, suits, proceedings, investigations, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees, court costs, and expert witness fees) arising from or relating to:

  • Your use or misuse of the Services
  • Your violation of these Terms of Service or any applicable law or regulation
  • Your violation of any third-party rights, including intellectual property, privacy, publicity, or contractual rights
  • Your interactions, communications, or transactions with clients, candidates, or other parties through Neohired
  • Any information, documents, or materials you provide to us
  • Your business operations, hiring decisions, or professional conduct
  • Any negligent acts, omissions, or willful misconduct on your part
  • Any breach of representations, warranties, or covenants made by you
  • Any tax liabilities, employment, or contractor disputes arising from placements facilitated by Neohired

8.2 Defense Obligation

Upon Neohired’ request, you will assume control of the defense and settlement of any claim subject to indemnification, provided that Neohired may, at its option and expense, participate in such defense with counsel of its choice. You may not settle any claim without Neohired’ prior written consent.

8.3 Cooperation

You agree to cooperate fully with Neohired in the defense of any claim, including providing access to relevant documents, information, and witnesses.

8.4 Notice

Neohired will provide you with prompt written notice of any claim for which indemnification is sought, though failure to provide such notice will not relieve you of your indemnification obligations except to the extent you are materially prejudiced by such failure.

8.5 Survival

This indemnification obligation will survive termination of your account and these Terms of Service.

9. Dispute Resolution

9.1 Mandatory Arbitration

Any disputes, claims, or controversies arising from or relating to these Terms, your use of Neohired, or the relationship between you and Neohired shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, rather than in court. The arbitration shall be conducted by a single arbitrator and take place in Wilmington, Delaware. Judgment on the arbitration award may be entered in any court having jurisdiction.

9.2 Exceptions to Arbitration

The following disputes are exempt from mandatory arbitration:

  • Claims in small claims court (under $10,000)
  • Requests for injunctive or equitable relief to protect intellectual property
  • Claims related to the validity or enforceability of these Terms

9.3 Class Action Waiver

You waive the right to participate in class actions, class arbitrations, or any collective or representative proceedings against Neohired. All disputes must be brought individually, and you cannot act as a representative or member of any class.

9.4 Governing Law and Jurisdiction

These Terms are governed by the laws of Delaware and the United States, without regard to conflict of law principles. Any court proceedings (for non-arbitrable matters) shall be conducted exclusively in the state and federal courts located in New Castle County, Delaware.

9.5 Limitation Period

Any claim must be brought within one (1) year after the cause of action arises, or such claim will be permanently barred.

9.6 Costs and Fees

Each party shall bear their own costs and attorneys’ fees in arbitration, except that the prevailing party may recover reasonable attorneys’ fees for frivolous claims.

10. Modifications and Termination

10.1 Term Modifications

We may modify these Terms at any time. Continued use constitutes acceptance of modified Terms.

10.2 Service Termination

We may discontinue or modify the Services at any time without liability to clients or candidates.

10.3 Effect of Termination

Upon termination, your right to use the Services ceases immediately. Provisions regarding liability, indemnification, and dispute resolution survive termination.
